DOE Approves Changes to Cameron LNG Export Authorization

The Department of Energy (“DOE”) issued an order approving changes in the control of export authorizations.   In February 2014, Cameron LNG, LLC (“Cameron”) filed an application with the Office of Fuel Energy (“FE”) of the DOE to transfer indirect control of a DOE/FE authorization to export LNG to free-trade-agreement (“FTA”) countries and a DOE/FE conditional authorization to export LNG to non-FTA countries.  Cameron claimed the indirect transfer of control would occur due to a change in ownership structure of Cameron’s parent company.  Under the proposed transaction, the interest of Sempra LNG Holdings II, LLC in Cameron would be transferred to Cameron LNG Holdings LLC, both wholly owned subsidiaries of Sempra LNG Holdings.
